Terms & Conditions
Last updated: August 8, 2026
These Terms & Conditions explain the rules that apply when you use the minomus. website, contact us about a project, book a service, or purchase services provided under the minomus. brand.
minomus. is a web design and development brand operated by Madara Santa Plauca, a natural person registered with the Latvian State Revenue Service (VID) as carrying on economic activity.
Throughout these Terms, “minomus.”, “we”, “us” and “our” refer to the services provided by Madara Santa Plauca under the minomus. brand. “You”, “your” and “client” refer to the person or business using our website or purchasing our services.
Where you purchase our services as a natural person for purposes unrelated to your business or professional activity, you may also qualify as a consumer and have additional rights under applicable consumer-protection law.
By accepting a proposal, confirming a project, making an agreed payment or otherwise entering into an agreement for our services, you confirm that you have read and accepted these Terms & Conditions.
If anything in an individual proposal, quotation, project agreement or other written agreement conflicts with these general Terms & Conditions, the terms specifically agreed for that project will take priority, except where applicable law provides otherwise.
1. About minomus.
minomus. is a web design and development brand through which Madara Santa Plauca, a natural person registered with VID as carrying on economic activity, provides web design, development and related digital services.
Our services may include website design, website development, template-based websites, custom websites, website redesign, logo design, hosting and other related digital services.
The exact services included in an individual project depend on the selected plan and the project scope agreed before work begins.
2. Our services
minomus. offers different ways to create or improve a website.
A Template Plan begins with one of the existing demonstration projects displayed by minomus. The selected website can be adapted by changing elements such as branding, colors, typography, imagery, written content, page and section names, products or services, calls to action and other agreed elements.
The underlying structure, components or functionality may remain based on the original minomus. template.
A Custom Plan is designed and developed specifically around the client's business, requirements and agreed project direction. The process may include research, visual direction, custom page layouts, functionality and other work described in the agreed scope.
Additional services, such as logo design, hosting or work outside the original project scope, may be available separately.
Descriptions and starting prices displayed on our website are intended to provide an overview of the available services. The final project price may depend on the requirements, complexity, functionality and scope of the individual project.
3. Project proposal and scope
Before paid project work begins, we will agree on the main scope of the project.
The scope may be documented in a proposal, quotation, email, meeting summary, project document or another written form.
Depending on the project, the agreed scope may include:
- the selected service or plan;
- website pages and sections;
- required functionality;
- design requirements;
- deliverables;
- included revisions;
- content requirements;
- estimated schedule;
- hosting or ongoing services;
- price and payment schedule.
Only work included within the agreed project scope is included in the agreed project price.
Requests made during the project that materially change or expand the agreed work may be treated as additional work.
If a request falls outside the agreed scope, we will inform you and, where appropriate, provide an additional price or revised estimate before carrying out the additional work.
Minor adjustments that reasonably form part of an included revision are not automatically considered additional work.
4. Prices and payments
All prices are stated in euros unless indicated otherwise.
Prices displayed publicly on the minomus. website may be starting prices. The final project price will be confirmed before paid project work begins.
Where applicable, we will clearly indicate whether VAT or other applicable taxes are included or added to the stated price.
Depending on the project, payment arrangements may include:
- an advance payment;
- payments divided into project stages;
- a final payment before launch;
- recurring hosting payments;
- another arrangement agreed in writing.
Invoices must be paid by their stated due date.
If payment becomes overdue, we may pause project work, postpone the project schedule, withhold unfinished deliverables or delay the website launch until the outstanding payment has been received.
Any resulting delay may affect the original project timeline.
Third-party expenses are not included unless they are expressly stated as included.
Such expenses may include:
- domain registration;
- premium fonts;
- stock photography or licensed media;
- paid plugins;
- third-party software;
- external APIs;
- email services;
- payment-processing services;
- subscriptions;
- other external licences or platforms.
Where a known third-party cost is required for the project, we will inform you where reasonably possible before the cost is incurred.
5. Project timeline
Any project timeline or launch date provided by us is an estimate unless a specific fixed deadline has expressly been agreed in writing.
The project timeline depends on both parties completing their responsibilities within a reasonable time.
A project may be delayed if, for example:
- required content is provided late;
- feedback or approvals are delayed;
- the project scope changes;
- additional functionality is requested;
- third-party services cause delays;
- technical circumstances outside our reasonable control arise.
If the project is substantially delayed because required information, materials, feedback or approvals are not provided by the client, the original project schedule may no longer be available.
The project may then be rescheduled according to our current workload and availability.
We will make reasonable efforts to communicate significant changes to the estimated project schedule.
6. Your responsibilities
You agree to provide the information, materials, access and feedback reasonably required to complete the project.
Depending on the project, this may include:
- written website content;
- photographs, graphics or videos;
- brand materials;
- logos;
- product or service information;
- legal information;
- account or platform access;
- visual references and examples;
- feedback and approvals.
You are responsible for checking that the information you provide is accurate.
You also confirm that you have the necessary rights, permissions or licences to use any text, images, fonts, logos, trademarks, videos, files or other materials you provide for the project.
We are not responsible for copyright, trademark, privacy or other legal disputes resulting from materials supplied or specifically requested by the client, except where applicable law provides otherwise.
7. Website content
Unless copywriting or content creation is specifically included in your project, you are responsible for providing the final website content.
We may make minor grammatical, formatting or presentation changes where reasonably necessary for the website design. This does not constitute professional copywriting, legal review or factual verification.
Before launch, you are responsible for reviewing the website and confirming the accuracy of information including:
- prices;
- company or business details;
- contact information;
- product and service information;
- policies;
- legal notices.
Where your website requires documents such as a Privacy Policy, Cookie Policy, Terms & Conditions, returns policy or other legal information, you remain responsible for ensuring that those documents are appropriate for your business and comply with applicable law unless professional legal services have expressly been arranged separately.
8. Feedback and revisions
The number or extent of revisions included in a project depends on the selected service and agreed project scope.
A revision is an adjustment to work already created within the agreed project direction.
Requests to substantially redesign approved work, introduce a different creative direction, add new pages, add new functionality or otherwise expand the project may be treated as additional work.
To keep the project efficient and organised, we may ask you to provide feedback in a consolidated form.
Once a project stage has been approved, substantial changes to that stage may require additional work and pricing.
9. Template Plan projects
Template Plan websites begin with an existing minomus. design or demonstration project and are adapted for the client.
Purchasing a Template Plan does not give the client exclusive rights to the original template, layout system, reusable components, development techniques, underlying functionality or other pre-existing minomus. materials.
We may continue to use, display, modify and adapt the same original template for other projects and clients.
Although multiple websites may begin with the same underlying template, differences in branding, content, imagery, typography and other customisations may create substantially different final results.
Unless exclusivity has expressly been agreed in writing, purchasing a Template Plan does not provide exclusive rights to the selected template.
After full payment, the client receives the rights necessary to use the completed website for its intended purpose, subject to these Terms and any applicable third-party licence conditions.
10. Custom Plan projects
Custom Plan projects are designed and developed around the individual client's agreed requirements.
The intellectual-property rights granted to the client will be those described in the project proposal, agreement or other written project documentation.
Unless otherwise agreed, after full payment the client receives the rights reasonably necessary to use the final client-specific website and materials for their intended purpose.
Any transfer of exclusive intellectual-property rights must be expressly agreed in writing.
We retain rights to pre-existing and generally reusable materials that were not created exclusively for the client's project, including, where applicable:
- reusable code;
- components;
- development utilities;
- frameworks;
- systems;
- methods;
- processes;
- technical approaches;
- general know-how.
Where these elements form part of the finished website, the client receives the necessary rights to use them as part of the delivered website, subject to the agreed terms.
Source files, design files, repositories or other working materials are included only where expressly stated in the agreed project scope.
11. Intellectual property and third-party materials
Unless otherwise agreed, draft designs, rejected concepts, development experiments, unused designs and other materials not included in the final deliverables remain with minomus.
Third-party materials remain subject to the licences and terms of their respective owners.
These may include:
- fonts;
- software libraries;
- frameworks;
- plugins;
- stock assets;
- APIs;
- external platforms;
- other licensed resources.
The client is responsible for complying with third-party licence conditions that continue to apply after project completion.
If functionality requires an ongoing third-party licence or subscription, we will explain known ongoing requirements where reasonably possible.
Unless expressly included in an ongoing minomus. service, future third-party licence and subscription costs are the client's responsibility.
12. Portfolio and promotion
Unless confidentiality has been agreed in writing, we may display completed and publicly launched work for portfolio and promotional purposes.
This may include displaying:
- the website;
- screenshots;
- the project or business name;
- selected design elements;
- a general description of the project.
These materials may appear on the minomus. website, social media or other portfolio and promotional channels.
We will not intentionally publish confidential information provided solely for the purpose of completing the project.
If a project must remain confidential, this should be agreed before work begins.
13. Website approval and launch
Before launch, the client will have an opportunity to review the website as provided within the agreed project process.
By approving the website for launch, the client confirms that they have had an opportunity to review the visible content and functionality and consider the website ready for publication.
We will correct issues resulting from our work that fall within the agreed project scope.
Requests for new functionality, new content, design changes or other modifications after approval or launch may be treated as additional work.
Web technologies change over time. Browsers, operating systems, devices, APIs, software libraries, plugins and third-party platforms may change in ways that affect the website after launch.
For this reason, we cannot guarantee that a website will remain technically or visually identical indefinitely without future maintenance.
14. Browser and device compatibility
We aim to create responsive websites suitable for modern browsers and commonly used screen sizes.
However, identical appearance and behaviour across every browser, device, operating system or screen configuration cannot be guaranteed.
Unless specifically included in the project, support for obsolete browsers, unsupported devices or unusual technical environments is not included.
15. Third-party services
A website may rely on services supplied by independent third parties, including:
- hosting providers;
- domain registrars;
- analytics services;
- Google services;
- social media platforms;
- payment processors;
- APIs;
- plugins;
- email providers;
- external software platforms.
We do not control these services and cannot guarantee their continued availability, pricing, functionality, security or compatibility.
If a third party changes, restricts or discontinues a service, additional work may be required to adapt the website.
Except where applicable law provides otherwise, we are not responsible for outages, security incidents, price changes, policy changes or other failures caused directly by an independent third-party provider.
16. Hosting
Where available, clients may choose to have their website hosted through minomus.
The specific hosting service, price, billing period and included services will be communicated separately.
Where a minomus. hosting plan includes technical maintenance, that maintenance is limited to the technical services described in the applicable hosting arrangement, which may include reasonable:
- software version updates;
- dependency updates;
- security-related updates;
- other technical maintenance required to keep the hosted website operating.
Hosting maintenance does not automatically include:
- editing website text;
- replacing images;
- adding new content;
- changing products or services;
- redesigning sections;
- creating new pages;
- developing new functionality;
- other content or design changes.
These services may be requested separately and may require additional payment.
We take reasonable precautions when maintaining hosted websites, but no hosting environment or online system can be guaranteed to operate without interruption or security risk.
17. Domains and client accounts
Where reasonably possible, important business accounts and domain names should be registered in the client's own name or transferred to the client's control.
If we assist in creating, configuring or connecting a domain or third-party account, this does not make minomus. the owner of that third-party service unless expressly agreed otherwise.
After account credentials or control have been transferred to the client, the client is responsible for maintaining the security of those accounts.
18. Future website changes
After completion of the original project, we may be available to assist with future:
- content changes;
- website improvements;
- additional functionality;
- redesign work;
- new pages;
- other website updates.
Unless an ongoing service expressly includes such work, future changes are not included in the original project price and will be quoted or agreed separately.
Our availability for additional work in the future cannot be guaranteed indefinitely.
19. Consumer withdrawal rights
This section applies where you qualify as a consumer under applicable law and enter into a distance contract with us.
Where the statutory right of withdrawal applies, you generally have the right to withdraw from a service contract within 14 days from the date on which the contract is concluded, without giving a reason.
To exercise this right, you must inform us of your decision to withdraw through a clear statement, for example by email or another method permitted by applicable law.
Where required by law, we will provide the applicable withdrawal information and withdrawal form.
If you expressly request that we begin providing the service during the statutory withdrawal period and subsequently exercise your withdrawal right before the service has been fully performed, you may be required to pay a proportionate amount for the services provided up to the time when you informed us of your withdrawal.
Where a service has been fully performed during the withdrawal period, the right of withdrawal may cease where the service was started with your prior express consent and acknowledgement that the withdrawal right would be lost after full performance, as provided by applicable law.
Specific statutory exceptions may also apply depending on the nature of the service or digital content supplied.
Nothing in these Terms limits or removes any mandatory consumer right that cannot legally be excluded.
20. Project cancellation and termination
Outside the statutory consumer withdrawal rights described above, either party may request to terminate an active project by notifying the other party in writing.
The financial consequences of cancellation depend on:
- work already completed;
- project stages already performed;
- payments already made;
- third-party expenses already incurred;
- commitments entered into specifically for the project;
- any project-specific cancellation terms agreed in writing.
To the extent permitted by law, we may charge for work reasonably completed up to the termination date and for non-refundable expenses already incurred for the project.
We may suspend or terminate a project where there is a serious breach of the agreement, including:
- persistent non-payment;
- unlawful requests;
- abusive or threatening behaviour;
- prolonged failure to provide materials necessary for the project;
- prolonged failure to communicate where this prevents the work from continuing.
Any mandatory statutory rights available to consumers remain unaffected.
21. Inactive projects
If a project cannot progress for a prolonged period because the client has stopped responding or has not provided the required materials, information, feedback or approvals, we may classify the project as inactive after making reasonable attempts to contact the client.
An inactive project may need to be rescheduled before work can continue.
If significant time has passed, changes in our availability, software, technical requirements, third-party costs or the client's requirements may require the project timeline or price to be reviewed before work resumes.
22. Refunds
Refund eligibility depends on the circumstances of the project, applicable law, work already performed and costs already incurred.
To the extent permitted by applicable law, payments corresponding to services already performed are generally not refundable.
Third-party costs already paid and not recoverable from the relevant provider may also be non-refundable.
Where the client qualifies as a consumer, nothing in this section limits statutory withdrawal, refund or other consumer rights.
23. Client and third-party modifications
After delivery, the client may modify the website themselves or allow another person or provider to modify it, subject to applicable licence conditions.
We are not responsible for technical problems, design issues, security problems or other faults caused by modifications made by the client or another third party after delivery.
If we are asked to investigate or repair such issues, the work may be charged separately.
24. Security and backups
We use reasonable development and security practices appropriate to the services we provide.
However, no website, server or online system can be guaranteed to be completely secure or permanently available.
The backup, monitoring and security services available after launch depend on the hosting or maintenance arrangement selected by the client.
If a website is hosted independently from minomus., responsibility for hosting infrastructure, server maintenance, backups and hosting security rests with the client and their chosen hosting provider unless expressly agreed otherwise.
25. Search engines and business results
Where relevant to the project, we may follow reasonable technical practices intended to help search engines access and understand a website.
This does not constitute a guarantee of any particular search-engine ranking.
Unless expressly agreed as part of a separate service, we do not guarantee:
- a particular position on Google or another search engine;
- a specific amount of website traffic;
- enquiries or leads;
- conversions;
- sales;
- revenue;
- other commercial results.
Business results depend on many factors outside our control.
26. Limitation of liability
We will provide our services with reasonable care and skill.
To the extent permitted by applicable law, we are not responsible for indirect or consequential losses resulting from:
- circumstances outside our reasonable control;
- failures of independent third-party services;
- inaccurate client-provided information;
- materials provided by the client;
- unauthorised or third-party modifications;
- failure by the client to maintain required licences, subscriptions or services.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
Nothing in this section limits mandatory consumer rights.
27. Personal data
Personal data provided directly to us is handled in accordance with the minomus. Privacy Policy.
During certain website projects, we may also process personal data on behalf of the client, for example where the project involves:
- website forms;
- databases;
- hosting;
- customer information;
- analytics or integrations.
Where required by applicable data-protection law, the respective responsibilities of the client and service provider may be set out in a separate data-processing agreement.
The client remains responsible for determining which personal data their own website collects and for ensuring that their business processes that information lawfully.
28. Confidentiality
Both parties should treat genuinely confidential information received during the project responsibly and should not disclose it unnecessarily to third parties.
This obligation does not apply to information that:
- is already publicly available;
- becomes public without a breach of confidentiality;
- was independently developed;
- was lawfully obtained from another source;
- must be disclosed under applicable law.
Additional confidentiality requirements may be agreed separately where appropriate.
29. Circumstances outside reasonable control
Neither party will be responsible for delays or failure to perform obligations caused by circumstances outside their reasonable control.
These may include, for example:
- major infrastructure failures;
- widespread internet outages;
- significant third-party service failures;
- natural disasters;
- governmental actions;
- other comparable events that could not reasonably have been prevented.
Where such circumstances affect a project, we will make reasonable efforts to resume work when reasonably possible.
30. Changes to these Terms
We may update these Terms & Conditions when our services, business practices or applicable legal requirements change.
The current version will be published on this page together with its latest update date.
Updates to the public Terms will not retrospectively override specific terms already agreed for an active project in a way that would unlawfully or unfairly alter that agreement.
31. Governing law and disputes
These Terms and our services are governed by the laws of the Republic of Latvia, except where mandatory applicable law provides otherwise.
If a disagreement arises, we encourage both parties to first attempt to resolve the matter through direct communication.
Consumers may also have access to complaint procedures, alternative dispute-resolution mechanisms and other protections provided under Latvian or European Union law.
Nothing in these Terms prevents a consumer from exercising mandatory legal rights or using legally available dispute-resolution procedures.
